Employment Agreements & Employment Law

Advice for employers and candidates – before signing, and along the way.
A good employment agreement protects both parties and prevents disputes down the road. I advise companies on drafting employment agreements and on ongoing employment law matters, and I help candidates and employees review job offers and negotiate them.
For Employers
-
Ongoing employment law advice, as part of ongoing corporate counsel.
-
Drafting employment agreements and appendices: confidentiality, IP and non-compete.
-
Advising foreign companies hiring employees in Israel, including review of the EOR provider agreement.
For Candidates and Employees
-
Reviewing an employment agreement before signing, with a clear explanation of what is standard, what is unusual and what to ask for.
-
Negotiating terms, including options and their terms.
Job Offers from Foreign Companies (EOR)
More and more foreign companies hire in Israel without setting up a local entity, employing through an Employer of Record (such as Deel and others). You then receive two documents: an offer from the company itself, and an employment agreement with the EOR.
What I review:
-
Who the actual employer is, and what happens to your seniority and rights if the EOR changes or the company moves to direct employment in Israel.
-
Rights under Israeli law: pension, severance and notice period.
-
Options from a foreign company: tax track and vesting.
-
IP and non-compete clauses, and their enforceability in Israel.
-
Whether what was promised matches what is written.
FAQ
I'm employed through an EOR – am I considered a "regular" employee in terms of pension coverage and social benefits?
Yes. Employees working in Israel are entitled to the protections of Israeli employment law, even when the agreement is governed by foreign law. It is important to verify the agreement does not contradict them.
Will my options be granted under Section 102?
Not always. When the formal employer is the EOR rather than the company issuing the options, the options may not be granted under the Section 102 track. The tax treatment of options is a material point that should be understood and addressed in advance.
Can I negotiate an EOR agreement (such as Deel and others)?
The EOR agreement itself is usually standard, but the terms with the company – salary, options and sometimes non-compete – can certainly be negotiated.
Received a job offer and would like advice on it?
